These Terms and Conditions ("Agreement") govern your access to and use of the Datavine website and any professional services provided by Datavine ("we", "us", "our"). By accessing this website or engaging our services, you agree to be bound by this Agreement. Please read it carefully before proceeding.
1. Definitions
For the purposes of this Agreement, the following terms apply:
- "Service" — any data engineering engagement provided by Datavine, including pipeline architecture, data lake and warehouse setup, and data quality and governance work
- "User" or "Client" — any individual or organisation accessing this website or entering into a service engagement with Datavine
- "We / Us / Our" — Datavine, operating from 10 Jalan Solaris, Mont Kiara, 50480 Kuala Lumpur, Malaysia
- "Content" — all text, data, designs, code, documentation, and materials available on this website or produced in the course of a service engagement
- "Agreement" — this Terms and Conditions document, inclusive of any separately agreed scope of work or engagement letter
2. Acceptance of Terms
By using this website or submitting an enquiry, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and accept these terms in full. If you are acting on behalf of a company or organisation, you confirm that you have authority to bind that entity to this Agreement.
If you do not agree with any part of these terms, please do not use this website or engage our services.
3. Service Description
Datavine provides professional data engineering services to organisations in Malaysia and the surrounding region. Our current service offerings include:
- Data Pipeline Architecture — design and implementation of ETL/ELT workflows, source integration, scheduling, and monitoring
- Data Lake & Warehouse Setup — cloud infrastructure design, schema planning, access control configuration, and cost guidance
- Data Quality & Governance Framework — quality rule definition, validation pipeline setup, metadata cataloguing, and access policy design
The specific scope of any engagement is defined in a written scope of work agreed upon before work commences. Datavine reserves the right to decline any enquiry or engagement at its discretion.
4. User Obligations
In using this website and engaging our services, you agree to:
- Provide accurate and complete information in all communications and forms
- Not attempt to access, interfere with, or disrupt any part of our website infrastructure
- Not submit false, misleading, or harmful content through any contact or enquiry channel
- Notify us promptly if any information you have provided becomes outdated or inaccurate
- Comply with all applicable laws and regulations in Malaysia and any other relevant jurisdiction
Prohibited Activities
You may not use this website or our services to:
- Transmit unsolicited commercial communications (spam)
- Conduct scraping, crawling, or automated data collection without prior written consent
- Attempt to reverse-engineer, copy, or replicate proprietary methods, frameworks, or deliverables
- Infringe intellectual property rights belonging to Datavine or any third party
- Engage in any activity that could reasonably damage the reputation of Datavine
5. Service Delivery Terms
The delivery of any service engagement is subject to:
- A signed scope of work document outlining deliverables, timeline, and payment terms
- Timely access to necessary data sources, systems, and personnel as reasonably required
- Prompt feedback and approvals from the client within agreed review windows
Datavine will communicate any material changes to timeline or scope as soon as they become apparent. Scope adjustments that materially affect the level of effort will be discussed and agreed upon in writing before being incorporated into the engagement.
6. Payment Terms
All services are priced in Malaysian Ringgit (RM) and are subject to applicable taxes. Specific payment schedules are defined in the engagement scope of work. General terms include:
- A deposit may be required before work commences on larger engagements
- Invoices are payable within 14 days of issue unless otherwise agreed in writing
- Late payment may result in work being paused until outstanding amounts are settled
- Datavine reserves the right to adjust pricing for future engagements with reasonable notice
Refund Policy
Work completed and delivered in accordance with an agreed scope of work is generally non-refundable. If a client wishes to terminate an engagement before completion, fees will be calculated based on work completed up to the termination date. Any dispute regarding completed deliverables should be raised in writing within 14 days of delivery.
7. Intellectual Property
Unless otherwise agreed in writing:
- All intellectual property on this website — including text, design, code, and structural concepts — remains the property of Datavine
- Upon full payment for a completed engagement, Datavine grants the client a non-exclusive licence to use the deliverables for internal business purposes
- Datavine retains the right to use anonymised engagement details (methodology, technical approaches, aggregate outcomes) for portfolio and educational purposes, unless the client requests confidentiality in writing
Clients must not reproduce, resell, or sub-licence Datavine deliverables to third parties without prior written consent.
8. Confidentiality
Both parties agree to treat as confidential any non-public information shared during the course of an engagement. Datavine will not disclose client data, internal processes, or proprietary business information to third parties without consent, except where required by law. This obligation survives the end of the engagement for a period of three years.
9. Disclaimers
All services are provided on an "as is" basis. While we apply care and professional judgement to every engagement, we make no representations that specific business outcomes, performance improvements, or cost reductions will result from our work.
Datavine is a data engineering services provider, not a financial, legal, or compliance advisory firm. Nothing in our deliverables should be construed as professional advice in those areas. Clients should seek appropriate specialist counsel for regulatory and legal matters.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Datavine's total liability in connection with any engagement shall not exceed the fees paid by the client for that specific engagement. We shall not be liable for:
- Indirect or consequential loss of any kind
- Loss of data, revenue, or business opportunity arising from reliance on our deliverables
- Delays caused by factors outside our reasonable control, including third-party service disruptions, API changes, or client-side access delays
11. Termination
Either party may terminate an engagement by providing written notice. Termination does not affect obligations already incurred, including payment for work completed. Datavine may terminate this Agreement with immediate effect if a client breaches these terms and fails to remedy the breach within 7 days of written notice.
12. Dispute Resolution
In the event of a dispute arising from these terms or any engagement, both parties agree to first attempt resolution informally by escalating the matter in writing. If informal resolution is not achieved within 30 days, the parties may proceed to mediation before pursuing formal legal proceedings.
This Agreement is governed by the laws of Malaysia. Any unresolved legal proceedings shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
13. General Provisions
- Entire Agreement — this document, together with any signed scope of work, constitutes the complete agreement between the parties
- Severability — if any provision of this Agreement is found unenforceable, the remaining provisions continue in full force
- Waiver — failure to enforce any right under this Agreement does not constitute a waiver of that right
- Assignment — you may not assign rights or obligations under this Agreement without prior written consent from Datavine
14. Changes to These Terms
We may revise these Terms and Conditions from time to time. The "Last Updated" date at the top of this page will reflect the most recent revision. Continued use of our website following any update constitutes acceptance of the revised terms. For active service engagements, changes to terms will only apply from the next engagement unless both parties agree otherwise in writing.
